Whenever there is (either-or) the verb depend upon the pronoun which is nearest to it. In this case I is thereafter he so 'am' is used and hence option D is correct.

Now suppose if given "Either I or he __ going then in this case later pronoun is he so IS is to be there.

He is usually third person and I is first person. So I will get more parity than he.
